Terms and Conditions of Service

These Terms and Conditions of Service ("Agreement") govern your use of the CircuitTix.com service ("Service") provided by CircuitTix.com ("we," "us," or "our"). By clicking "Sign Up" to create an account, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you should not use or access the Service. This Agreement may be modified from time to time, and the most recent version can be reviewed at CircuitTix.com/terms-of-service/.

1. Service Description

The Service provided by CircuitTix.com is an online solution for selling electronic event ticketing and marketing platform. Our Service allows event organizers or authorized ticket sellers to sell and manage event tickets, digital products, and services. If you are using the Service on behalf of another entity, you represent that you have the authority to enter into a binding agreement on behalf of that entity.

2. Consumer Relationships

When you sell tickets or services using our Service, the contractual agreement is between you and the consumer ("Consumer"). We have no relationship with the Consumers. You are responsible for providing your own terms of sale with your Consumers. You agree to promptly respond to your customers and accept all liability in relation to the contractual agreements between you and the Consumer. You also agree to notify your Consumers immediately if your event is canceled, postponed, or has a material change from the original information and update the event settings on our Service to reflect this.

3. Compliance with Laws and Responsibilities

When using our Service, you shall comply with all applicable laws and responsibilities related to your events. You are solely responsible for ensuring legal compliance in relation to your events.

4. Service Interruptions

Access to the Service may be temporarily suspended without notice in the event of maintenance, repair, technical failure, or reasons beyond our control. Your access may also be suspended at our discretion if advised to do so by any legal authority or due to non-payment. Under no circumstances will we be liable for any misuse of our Service.

5. Eligibility

To sign up for the Service, you must be 18 years or older. By signing up, you represent that you meet this eligibility requirement.

6. Payment Processors

Our Service enables you to accept payments from Consumers using payment processors we have partnered with, such as Stripe, Inc. Your use of the respective payment processor is subject to its own terms and conditions and privacy policy. The payment processor acts as a data processor to both you and us, as well as a controller, and carries out transactions under its own policies. You agree to us sharing personal information about your transactions made using our Service. We reserve the right to terminate access to our Service if we are notified of fraudulent activities or any breaches of law by you or the Consumer.

7. Fees and Credits

Our Service fees can be purchased in advance as usage credits ("Credits"). Each ticket purchased by a Consumer costs one Credit. Sending 10 (ten) SMS messages using our Service costs one Credit, and sending 100 (one hundred) emails costs one Credit. Credits cannot be transferred and are non-refundable.

8. Consumer Data and Consent

You agree to ensure that you have obtained all necessary consents and notices to provide us with Consumer data and to act as a processor in accordance with all applicable laws. You are responsible for the lawful collection, use, and transfer of Consumer information and obtaining the necessary consent from Consumers and event attendees.

9. Content Restrictions

Your content must not be threatening, defamatory, unlawful, fraudulent, depict sexually explicit images, promote violence, discriminate based on sexual orientation, age, race, religion, disability, nationality, or infringe on any copyright, trademark, or intellectual property rights.

10. Disputes and Indemnification

We are not liable for any disputes between you and Consumers or event attendees. You agree to indemnify us from any claim in relation to any disputes with Consumer(s) or event attendees or any third party due to your use of the Service.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of California.
